Terms of Service

These Terms of Service (“Terms”) govern your use of the Jotter Jobs application and related services (the “Service”) operated by 2Bit Technologies Limited (“we”, “us”, or “our”), a New Zealand company. By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you confirm that you are at least 16 years old and agree to comply with these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Account Terms
- You are responsible for maintaining the security of your account and password.
- You are responsible for all activity that occurs under your account.
- You must provide accurate and complete information when creating your account.
- You must notify us immediately of any unauthorised use of your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
3. Team Members and Invitations
If you create a company account and invite other users (“Team Members”) to join, you are responsible for ensuring that all Team Members comply with these Terms. Team Members are also individually bound by these Terms upon accepting an invitation and using the Service.
As the account holder or company administrator, you are responsible for managing Team Member access, including revoking access when appropriate. We are not liable for any actions taken by Team Members under your company account.
4. Subscriptions and Billing
- Some features of the Service require a paid subscription.
- Subscriptions are billed on a recurring monthly basis through Apple's App Store or Google Play.
- Payment will be charged to your Apple ID or Google account at confirmation of purchase.
- Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.
- If you downgrade to a lower tier or cancel your subscription, you will continue to have access to your current plan's features until the end of your current billing period. No partial or prorated refunds will be issued for the remaining time in a billing cycle.
- Downgrades take effect at the start of your next billing period. Until then, your existing tier and seat allocation remain active.
- You can manage or cancel your subscription through your device's subscription settings.
- Refunds are subject to the policies of Apple or Google, as applicable.
- We reserve the right to change subscription pricing with reasonable notice.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Attempt to gain unauthorised access to the Service or its related systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Transmit any viruses, malware, or other harmful code.
- Use the Service to send spam or unsolicited communications.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use automated means to access the Service without our prior written consent.
6. Your Data
You retain ownership of all data you submit to the Service (“Your Data”). You grant us a limited licence to use, store, and process Your Data solely for the purpose of providing and improving the Service. We will handle Your Data in accordance with our Privacy Policy.
You are responsible for maintaining your own backups of Your Data. While we take reasonable measures to protect Your Data, we are not liable for any loss or corruption of data.
7. Third-Party Integrations
The Service integrates with third-party services such as Xero. Your use of these integrations is subject to the respective third party's terms and conditions. We are not responsible for the availability, accuracy, or reliability of third-party services.
8. Xero Integration and Invoice Accuracy
The Service allows you to generate and submit invoices to Xero on your behalf. You are solely responsible for reviewing the accuracy and completeness of all invoices, line items, pricing, tax calculations, and customer details before sending them to your customers.
We do not verify or guarantee the accuracy of any financial data, invoices, or records created through the Service. You acknowledge that errors in job details, time tracking, materials, or other inputs may result in incorrect invoices. We are not liable for any financial loss, tax liability, or disputes arising from invoices generated through the Service.
9. Offline Use and Data Synchronisation
The Service supports offline use, allowing you to create and modify data without an active internet connection. Changes made offline are stored locally on your device and synchronised with our servers when connectivity is restored.
In the event of a sync conflict (for example, if the same record is modified on multiple devices while offline), the server-side data takes precedence. We are not liable for any data loss or discrepancies arising from offline usage, sync conflicts, or delays in synchronisation.
10. Intellectual Property
The Service and its original content, features, and functionality are owned by 2Bit Technologies Limited and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.
11. Limitation of Liability
To the maximum extent permitted by New Zealand law, in no event shall 2Bit Technologies Limited, its directors, employees, partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of (or inability to access or use) the Service.
- Any conduct or content of any third party on the Service.
- Any content obtained from the Service.
- Unauthorised access, use, or alteration of your transmissions or content.
Our total liability to you for all claims arising from the Service shall not exceed the amount you have paid us in the 12 months preceding the claim.
12. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.
13. Indemnification
You agree to indemnify, defend, and hold harmless 2Bit Technologies Limited, its directors, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, the actions of any Team Members under your account, or any invoices or financial records generated through the Service.
14. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.
You may delete your account at any time through the app settings. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes constitutes acceptance of the new Terms.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of New Zealand.
